Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by CryBloc AG ("CryBloc", "we", "us", or "our"), a company incorporated under Swiss law with its registered office at Bahnhofstrasse 42, 6300 Zug, Switzerland. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1 Scope of Services

CryBloc provides professional blockchain development, smart contract engineering, DeFi protocol design, dApp development, NFT and NFT marketplace solutions, crypto consulting, and related advisory services (collectively, "Services").

All Services are governed by a separate project agreement or statement of work ("SOW") signed between CryBloc and the client. Nothing on this website constitutes a binding offer or guarantee of service availability, pricing, or delivery timelines.

CryBloc reserves the right to decline any engagement at its sole discretion without providing a reason.

2 Eligibility & Account Responsibility

You must be at least 18 years of age and have full legal capacity to enter into contracts to use our Services. By using our website or engaging our Services, you represent that you meet these requirements.

  • You are responsible for:
  • Providing accurate and complete information during onboarding and throughout the engagement.
  • Maintaining the confidentiality of any credentials or access keys we provide.
  • Any activity that occurs through your accounts or under your project.

CryBloc is not responsible for any loss or damage arising from your failure to comply with the above.

3 Intellectual Property

Unless otherwise agreed in writing in a signed SOW, the following IP terms apply:

  • Deliverables: All code, smart contracts, documentation, and materials created specifically for a client project become the property of the client upon receipt of full payment of all outstanding invoices.
  • Pre-existing IP: CryBloc retains all rights to its pre-existing tools, frameworks, libraries, and methodologies. We grant you a non-exclusive, non-transferable licence to use any pre-existing IP embedded in your deliverables solely for the purpose of operating the project.
  • Website Content: All content on this website – including text, graphics, logos, icons, images, and design elements – is the exclusive intellectual property of CryBloc AG and may not be copied, reproduced, modified, or distributed without prior written permission.
  • Know-how: CryBloc retains the right to use general skills, knowledge, experience, and non-confidential methodologies acquired during any engagement.

4 Payment Terms

Payment terms are set out in each project SOW. Unless otherwise stated:

  • Invoices are due within 14 calendar days of the invoice date.
  • Late payments accrue interest at 5% per annum above the Swiss National Bank base rate, calculated daily.
  • CryBloc reserves the right to suspend work on any project where invoices are more than 14 days overdue.
  • All fees are exclusive of VAT and any applicable taxes, which are the client's responsibility.
  • Payments in cryptocurrency are accepted at the spot rate at the time of invoice, denominated in CHF or EUR equivalent.

5 Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Services ("Confidential Information"). This obligation:

  • Remains in force for 3 years after project completion or termination.
  • Does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
  • Includes, but is not limited to: technical specifications, business plans, pricing, client lists, and source code.

CryBloc will not disclose your project details, technology, or business information to any third party without your prior written consent, except as required by applicable law.

6 Warranties & Disclaimer

CryBloc warrants that it will perform the Services with reasonable skill and care, in accordance with the agreed SOW.

However, blockchain technology and smart contract deployments involve inherent technical and financial risks. CryBloc does not warrant that:

  • Smart contracts will be free from all bugs or vulnerabilities.
  • Any blockchain network will operate without interruption.
  • Token valuations or DeFi protocol returns will meet any specific level.

All blockchain deployments are made at the client's own risk. CryBloc strongly recommends independent third-party security audits for any smart contracts managing significant value. Except as expressly stated, all Services are provided "as is" and "as available" without further warranty of any kind.

7 Limitation of Liability

To the maximum extent permitted by applicable law:

  • CryBloc's total aggregate liability for any and all claims arising from or in connection with the Services is limited to the total fees paid by the client to CryBloc in the 3 months immediately preceding the event giving rise to the claim.
  • CryBloc is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, loss of business opportunity, or reputational harm.
  • CryBloc is not liable for any losses caused by the actions or omissions of third parties, including blockchain protocol failures, exchange hacks, or regulatory interventions.

Nothing in these Terms limits or excludes CryBloc's liability for fraud, gross negligence, or wilful misconduct.

8 Governing Law & Dispute Resolution

These Terms are governed exclusively by the substantive laws of Switzerland, with the exclusion of conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the ordinary courts of the Canton of Zug, Switzerland.

Notwithstanding the above, CryBloc reserves the right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

9 Changes to These Terms

CryBloc reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date.

Your continued use of our website or Services after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of our Services.
